Terms and conditions of sale

This is a translation provided for convenience. The French version (CGV) is the legally binding one.

1. Provider

  • Louis Cerclé--Cheminel EI (Sole proprietorship (French EI), micro-entrepreneur)
  • SIRET: 131 344 590 00016
  • Address: 29 rue Duperré, 29200 Brest, France
  • Contact: contact@louis-cercle.site · +33 7 83 44 02 74

2. Scope

These terms apply to every service offered on louis-cercle.site: websites, web apps, redesigns, maintenance and hosting, Counter-Strike 2 server setup and management, and plugin development. They cover both business clients and private individuals ("consumers"). If they conflict with a signed quote, the quote prevails.

3. Quote and order

Every service starts with a free, detailed quote, valid for 30 days. The order is binding once the signed quote (handwritten, electronic or written acceptance by email) and the agreed deposit have been received.

4. Prices

Prices are in euros. VAT not applicable, article 293 B of the French tax code (CGI): the amounts shown are final, with no VAT to add. Prices displayed on the website are indicative ("from"); the final price is the one in the quote.

5. Payment

  • One-off services: 30% deposit on order, balance on delivery.
  • Interest-free payment in 3 instalments, at the client's request and stated in the quote: 30% on order, 40% on delivery, 30% thirty days after delivery. The source code and ownership of the work are transferred after the last instalment (section 8).
  • Monthly plans (maintenance, hosting, server management): paid every month, in advance.
  • Payment method: bank transfer. Invoices are payable on receipt unless the invoice states otherwise.

Business clients: any late payment automatically incurs penalties equal to three times the French legal interest rate and a fixed €40 recovery fee (articles L441-10 and D441-5 of the French Commercial Code). No discount is granted for early payment.

Private clients: in case of late payment, interest at the legal rate may apply after a formal notice that remains unanswered.

If an invoice remains unpaid, the provider may suspend the ongoing service (including maintenance or hosting) after a written reminder left unanswered for 15 days.

6. Work and timelines

Timelines in the quote are indicative and start once the deposit and the required material (texts, images, access) have been received. The client agrees to provide this material and validate each step within a reasonable time; any delay on their side postpones delivery accordingly.

For websites, a mock-up is submitted for the client's approval before development, then two rounds of feedback are included during the build, unless the quote states otherwise. Additional rounds or changes of scope may be subject to an additional quote.

7. Delivery and acceptance

On delivery, the client has 8 days to report in writing anything that does not match the quote. Those fixes are made at no extra cost. After this period without objection, or as soon as the work is put online at the client's request, the service is deemed accepted. New requests not covered by the quote are quoted separately.

8. Intellectual property

Once paid in full, the client owns the code and designs created specifically for them, for the use described in the quote, and receives the source code. Third-party components (open-source libraries, fonts, themes, extensions) remain under their own licence. Unless the client objects in writing, the provider may feature the work in their portfolio.

The client guarantees that they hold the rights to the content they provide (texts, photos, logos) and remains solely responsible for it.

9. Maintenance, hosting and subscriptions

Monthly plans have no commitment: they can be cancelled at any time by email, effective at the end of the current month. The domain name is registered in the client's name. When the plan ends, the provider hands over the files and access needed to switch providers.

10. Counter-Strike 2 servers

The client rents the machine or VPS from the host of their choice. Updates released by Valve may temporarily break some plugins: restoring them is covered by the monthly management plan, and quoted separately otherwise. The client remains responsible for how their server is used and for complying with Valve's terms.

11. Right of withdrawal (private clients)

Private clients ordering at a distance have 14 days from accepting the quote to withdraw, without giving a reason (article L221-18 of the French Consumer Code). A clear statement is enough, for example an email to contact@louis-cercle.site. Payments are refunded within 14 days.

If the client expressly asks for the work to start before this period ends, they owe the amount corresponding to the work already done when they withdraw (article L221-25). A service fully performed before the period ends, with the client's express consent and acknowledgement that they lose this right, can no longer be withdrawn from (article L221-28).

12. Liability and warranties

The provider is bound by an obligation of means. They are not liable for content supplied by the client, nor for outages or failures of third-party services (hosts, registrars, Valve, email delivery services). For business clients, liability is capped at the amount paid for the service concerned and excludes indirect damage (loss of revenue, customers or data). Private clients always keep the legal warranties provided by the French Consumer Code.

13. Personal data

Data provided by the client is only used to perform and invoice the service. Details of the processing and your rights are in the legal notice.

14. Complaints and mediation

For any complaint, please contact the provider first at contact@louis-cercle.site: an amicable solution is always sought first.

15. Applicable law

These terms are governed by French law. With business clients, any dispute not settled amicably falls under the jurisdiction of the courts of Brest. With private clients, the statutory rules of jurisdiction apply.

Effective 14 October 2026.
